This Introducing Broker & Partner Agreement (“Agreement”) sets out the terms and conditions governing the relationship between GatesFX LTD (“GatesFX,” “we,” “our,” or “us”) and any individual or entity (“IB,” “Partner,” or “you”) participating in the GatesFX Partner Program.
By creating an account with GatesFX, you are automatically enrolled in the IB / Partner Program, subject to the terms contained herein.

All client and partner accounts are held exclusively with GatesFX LTD in St. Lucia.
This Agreement governs only the relationship between GatesFX LTD and its IBs/Partners.
No affiliate or regional GatesFX entity (including those in Australia, South Africa, or Cyprus) is a party to, or responsible for, any commissions, client relationships, or obligations arising from this program.
GatesFX LTD is an International Business Company registered in St. Lucia under registration number 00396 IBC 2024.
All client and partner accounts are held exclusively with GatesFX LTD in St. Lucia.
This Agreement governs only the relationship between GatesFX LTD and its IBs/Partners.
No affiliate or regional GatesFX entity (including those in Australia, South Africa, or Cyprus) is a party to, or responsible for, any commissions, client relationships, or obligations arising from this program.

The GatesFX Partner Program allows individuals or organizations to earn commissions by referring new clients to GatesFX. Partners may promote GatesFX through personal networks, social channels, or marketing campaigns, subject to compliance with this Agreement and all applicable regulations.

All registered GatesFX account holders are automatically enrolled as IBs/Partners.
This enables every client to:
Access their referral link from the client portal;
Earn commission for each referred client who trades;
Monitor referral activity and commission statistics in real time.
Participation is optional — those who do not wish to engage in referral activity may simply disregard their referral link.

5. Commission Structure

5.1 Instant Commission Payouts
Commissions are calculated and credited instantly when a referred client’s trade closes.
Payouts are processed automatically 24 hours a day, 7 days a week, and are immediately available in the IB’s wallet.
IBs may withdraw or transfer earned commissions to their trading account at any time, subject to withdrawal verification.

All Partners and IBs agree to:
Promote GatesFX honestly and transparently, without making false promises or misleading claims.
Refrain from offering trading advice, investment guarantees, or financial recommendations.
Ensure that all marketing materials comply with GatesFX Brand Guidelines and applicable advertising laws.
Avoid spam, deceptive advertising, or targeting of restricted jurisdictions.
Direct referred clients with support or trading issues to official GatesFX channels.
Failure to adhere to these standards may result in suspension or termination of partnership privileges.
All Partners and IBs agree to:
Promote GatesFX honestly and transparently, without making false promises or misleading claims.
Refrain from offering trading advice, investment guarantees, or financial recommendations.

Partners may not alter, duplicate, or misrepresent GatesFX’s trademarks, logos, or content without written authorization.
Unauthorized use of intellectual property or misleading representation of GatesFX may result in legal action and loss of partner status.

Registering multiple or duplicate accounts for self-referral.
Offering personal rebates, bonuses, or incentives to manipulate trading volumes.
Using high-frequency, arbitrage, or trade-copying techniques solely to generate commissions.
Promoting GatesFX in restricted countries or to underage individuals.
Engaging in prohibited activity may result in immediate termination and forfeiture of all unpaid commissions.

13. Anti-Money Laundering Compliance

To comply with global AML/CTF regulations:
IB commissions will only be paid to verified accounts under the same name as the registered partner.
Third-party payments are strictly prohibited.
GatesFX may request proof of identity or payment source at any time before releasing commissions.
Suspicious activity will be reported to the relevant authorities and may result in account suspension.

14. Termination

Either party may terminate this Agreement with written notice.
GatesFX reserves the right to immediately terminate any IB or Partner account if:
Fraud, abuse, or violation of this Agreement is detected;
Misrepresentation or unauthorized marketing is discovered;
Regulatory or compliance concerns arise.
Upon termination:
Any pending commissions subject to dispute or investigation may be withheld;
Outstanding, verified commissions will be paid in full;
Access to partner systems will be revoked.
Either party may terminate this Agreement with written notice.
GatesFX reserves the right to immediately terminate any IB or Partner account if:
Fraud, abuse, or violation of this Agreement is detected;
Misrepresentation or unauthorized marketing is discovered;

Indirect or consequential damages arising from partnership activity;
Loss of income due to system downtime or third-party failures;
Claims made by clients referred by the IB.
The IB’s total remedy for any claim shall be limited to the unpaid verified commissions due at the time of the claim.
